Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Chakratek ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms in full, you may not use our services. These terms apply to all visitors, clients, and others who access or use our services.

2. Services

Chakratek provides digital design and development services including but not limited to UI/UX design, web development, mobile application development, branding, and product strategy. The specific scope of work for each engagement is defined in a separate project agreement or statement of work agreed upon by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will endeavour to provide reasonable notice of any significant changes that may affect ongoing engagements.

3. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for the delivery of services. This includes but is not limited to brand assets, content, feedback, and approvals. Delays caused by a client's failure to provide required materials may affect project timelines and are not the responsibility of Chakratek.

Clients must ensure that any materials provided to Chakratek do not infringe upon the intellectual property rights of any third party. You agree to indemnify Chakratek against any claims arising from such infringement.

4. Intellectual Property

Upon receipt of full payment, all final deliverables produced exclusively for a client become the property of that client. Chakratek retains ownership of all preliminary designs, concepts, methodologies, tools, and frameworks developed in the course of completing a project.

Chakratek reserves the right to display completed work in its portfolio, on its website, and in marketing materials unless a written non-disclosure agreement has been signed prior to the commencement of work.

5. Payment Terms

Payment terms are outlined in the project agreement. Unless otherwise agreed, a deposit is required before work begins. Final deliverables will not be released until all outstanding balances are settled in full. Late payments may incur additional fees as specified in the project agreement.

All fees are quoted exclusive of applicable taxes. Clients are responsible for any taxes, duties, or levies applicable in their jurisdiction.

6. Revisions & Amendments

The number of revisions included in a project is defined in the project agreement. Requests for changes that fall outside the agreed scope will be treated as new work and quoted accordingly. Significant changes to the project brief after work has commenced may require a revised agreement.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation continues after the completion or termination of the project. Information that is publicly available, independently developed, or required to be disclosed by law is exempt from this obligation.

8. Limitation of Liability

Chakratek's total liability to any client for any claim arising out of or in connection with services provided shall not exceed the total fees paid by that client for the specific project giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

9. Termination

Either party may terminate a project engagement by providing written notice as specified in the project agreement. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. Chakratek will provide all completed deliverables at that stage upon receipt of outstanding payment.

10. Governing Law

These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising from these terms or the services provided shall be resolved through good-faith negotiation in the first instance, and thereafter through appropriate legal channels.

11. Changes to These Terms

Chakratek reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services following any changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
